Guide Along Terms and Conditions of Use

These Terms and Conditions of Use (“Terms”) govern your access to and use of Guide Along’s website, mobile applications, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

You will be able to access our website without having to register any details with us. However, in order to access our mobile application you may have to provide certain contact information and details. Access to certain services may require a one-time purchase or a recurring payment subscription. We reserve the right to prevent or suspend your access if you do not comply with any part of these terms and conditions or any applicable law.

We take all reasonable steps so that our website is available 24 hours every day, 365 days per year. However, websites do sometimes encounter downtime due to server and other technical issues. Therefore, we will not be liable if this website is unavailable at any time. 

Our website may be temporarily unavailable due to issues such as system failure, maintenance or repair, or for reasons beyond our control. Where possible, we will try to give our users advance warning of maintenance issues, but shall not be obliged to do so. 

 

1. Definitions

• “Guide Along,” “we,” “us,” or “our” refers to Guide Along, Inc.
• “You,” “user,” or “your” refers to the individual or entity accessing or using the Services.
• “Content” means all audio, text, images, maps, code, and other materials provided through the Services.

2. Acceptance & Updates

• Eligibility. Users of our website and mobile application as well as our services generally must be eighteen (18) years of age or older or the age of majority as that is defined in the applicable jurisdiction in which the user resides. If you do not meet this requirement you must not use the website, mobile application or services.
• Agreement to Terms. By registering, downloading, or using the Services, you confirm you meet eligibility requirements and accept these Terms.
• Modifications. We may update these Terms at any time by posting a revised version with a new “Last Updated” date. Continued use after updates constitutes acceptance. If you disagree with a revision, stop using the Services.

3. User Accounts & Security

• Registration. Certain features require creating an account with accurate, current information. You are responsible for safeguarding your login credentials and for all activities under your account.
• Termination. We may suspend or terminate your account or access to the Services, in whole or in part, at our discretion and with or without notice.

4. Intellectual Property & License

• Ownership. All Content and intellectual-property rights are owned by Guide Along or its licensors and are protected by copyright, trademark, and other laws.
• License Grant. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes.
• Restrictions. You may not modify, distribute, sell, sublicense, reverse engineer, or create derivative works of any Content without our prior written consent.
• You acknowledge that certain components of the mobile application may contain components licensed under “open source” software licenses, which means any software licenses approved as open source licenses by the Open Source Initiative or any substantially similar licenses, including without limitation, any license that, as a condition of distribution of the software licensed under such license, requires that the distributor make the software available in source code format (such component, “Open Source Components”). A list of the Open Source Components and their corresponding open source licenses will be available through the mobile application. To the extent required by the applicable open source licenses covering the Open Source Components, your use of the Open Source Components will be subject and governed by the terms and conditions of the applicable open source licenses. To the extent the terms of licenses applicable to Open Source Components prohibits any of the restrictions in these Terms with respect to such Open Source Component, such restrictions will not apply to such Open Source Component. To the extent the terms of the license applicable to the Open Source Components require us to provide you with source code for such Open Source Components, such offer is hereby made, and you may exercise such offer by contacting us at the email address below. You hereby confirm that you have received all required license notices for Open Source Components included in your initial download of the mobile application.
• The mobile application and software made available may automatically download and install updates from us or the licensors of the software, from time to time. These updates may include bug fixes, patches, new or improved functions and features, or new versions of the mobile application or software.  You consent to receiving such updates and authorize us or our licensors to deliver these updates to you without any additional notice. We and our third-party licensors are under no obligation to provide updates. Any updates provided by us in respect of the mobile application are deemed to be part of the mobile application.

 

5. User-Generated Content

• Ownership. You retain ownership of any reviews, comments, photos, or other materials you submit (“User Content”).
• License to Us. You grant us a perpetual, irrevocable, royalty-free license to use, reproduce, modify, publish, and distribute your User Content in connection with the Services.
• Warranties. You warrant that your User Content is lawful and does not infringe any third-party rights.

6. Payments, Pricing & Refunds

• Pricing. Tour prices and fees are displayed in the app or on our website and may change at our discretion. All prices, discounts, and promotions posted on the Services or in any promotional materials are subject to change without notice. The price charged for a product or service will be clearly stated on the Services and in any order confirmation email sent to you. Posted prices do not include taxes. All such taxes will be added to your total price. We strive to display accurate price information, however, we may, on occasion, make inadvertent typographical errors, inaccuracies or omissions related to pricing and availability. We reserve the right to correct any errors, inaccuracies, or omissions at any time and to cancel any orders arising from such occurrences.
• Fees. Certain Services may only be accessible or downloadable upon payment of a fee. You understand and agree that we do not administer the collection and refund of any such fees, and that the applicable third party marketplace governs the terms and conditions applicable to same. Any claim and dispute you may have in connection with such fees must be solely directed to such applicable third party marketplace, and you hereby release us, and our affiliates, and each of their officers, directors, employees and agents, from any and all claims, actions, demands or losses in connection with same. You shall promptly pay the price for all content and Services you purchase through the Services, plus applicable taxes.
• In-App Purchases. Certain purchases you make through the mobile application may be processed through the Google Play, Apple App Store, or other app distribution platform (“Distribution Platform”) from which you initially downloaded the mobile application. The processing of such purchases may be subject to the terms and conditions and privacy policies of the Distribution Platform, as applicable. If you have a payment issue in respect of such purchases, you must contact the Distribution Platform directly to seek resolution.
• Purchases Final. Except as expressly provided in these Terms, all purchases and payments are final and no returns, replacements, or refunds are permitted. If we accept a return, make a replacement, or process are refund in respect of content, you may lose access to the content you received through your initial purchase. If you are unable to use the digital tour due to technical issues that cannot be resolved by our support team, or if the tour content was not delivered as described, you may request a refund within 30 days of purchase.
• Payment Processing. Transactions are handled by secure, PCI-DSS-compliant third-party platforms (e.g., Apple App Store, Google Play). We do not store, process or maintain your payment information. 
• Refund Policy.
  • Change-of-Mind. Full refund if requested within 24 hours of purchase.
  • Technical Issues. If a verified technical issue prevents access, contact support within seven (7) days for a possible refund or credit.
  • Discretion. All refund requests are evaluated at our sole discretion and processed via the original payment method.

7. User Conduct & Equipment

• Your Responsibility. You must provide and maintain your device, internet connection, and any required data plans.
• Safety. Use caution when walking or driving with the app. You are responsible for following all applicable laws and ensuring your own safety. YOU ARE PROHIBITED FROM USING THE WEBSITE, APP AND/OR SERVICES WHILE UNDER THE INFLUENCE OF ALCOHOL, CANNABIS, CONTROLLED SUBSTANCES, PSYCHOACTIVE SUBSTANCES, OR IN ANY MANNER THAT MAY DISTRACT YOU FROM THE ROAD OR THAT IS DANGEROUS. YOU MUST NOT USE THE WEBSITE, APP AND/OR SERVICES IN ANY WAY CONTRARY TO OR INCONSISTENT WITH ANY APPLICABLE LAW, WHICH INCLUDES WITHOUT LIMITATION, DISTRACTED DRIVING LAWS WHICH, AMONG OTHER THINGS, PROHIBIT HOLDING ELECTRONIC DEVICES OR OPERATING ITS FUNCTIONS WHILE DRIVING OR OPERATING A MOTOR VEHICLE. YOU SHALL FAMILIARIZE YOURSELF WITH THE LOCAL LAWS OF THE JURISDICTION IN WHICH YOU USE THE WEBSITE, APP AND/OR SERVICES. YOU ASSUME ALL RESPONISBILITES FOR: (A) OPERATING A MOTOR VEHICLE WHICH IS AN INHERENTLY RISKY ACTIVITY; AND (B) FOR ANY RISKS ASSOCIATED OR RELATED WITH THE OPERATION OF A MOTOR VEHICLE. YOU ALSO ASSUME RESPONSIBILITY FOR: (C) YOUR OPERATION AND USE OF THE APP WHILE DRIVING A MOTOR VEHICLE. THE APP SHOULD BE PROGRAMMED OR REPROGRAMMED ONLY WHILE YOUR MOTOR VEHICLE IS PARKED AND STATIONARY; (D) EXCERISE YOUR OWN JUDGEMENT, THE APP CONTENT MAY DIFFER FROM ACTUAL CONDITIONS. YOU ARE RESPONSIBLE FOR YOUR OWN CONDUCT AND THE CONSEQUENCES THAT FLOW FROM IT.
• Prohibited Conduct. You may not:
  • Disrupt or interfere with the Services or associated networks.
  • Use automated means (bots, scrapers) to access the Services.
  • Violate any applicable law or third-party rights.
  • Use the Services for the purposes of competitive analysis of the Services;
  • Use the Services to develop a competing product or service, to build a product or service using similar ideas, features, functions or graphics of the Services, or to copy any ideas, information, features, functions or graphics of the Services;
  • Use the Services to create or augment any other tour-guide service or any other service that is a substitute for or substantially similar with the Services;
  • Remove, delete, alter or obscure any intellectual property or proprietary rights notices from the Services or our content, including copies of them;
  • Access or use the Services or our content in any manner or for any purpose that infringes, misappropriates or otherwise violates any intellectual property right, privacy right, or other right of any third party, or that violates any applicable law;
  • Use the Services in violation of any law or to facilitate violation of a law;
  • Use the Services for a tortious purpose, to facilitate any tortious activity, or to obtain any unlawful property or services, under applicable law;
  • Use the Services to harass, inconvenience, annoy, cause nuisance, occasion violence on any person, or cause property damage;
  • Threaten, defraud, stalk, or harm any person when using the Services;
  • When using our website, you shall not post or send to or from either the website:
    • content for which you have not obtained all necessary consents;
    • content that is discriminatory, obscene, pornographic, defamatory, liable to incite racial hatred, in breach of confidentiality or privacy, which may cause annoyance or inconvenience to others, which encourages or constitutes conduct that would be deemed a criminal offense, give rise to a civil liability, or otherwise is contrary to the law in any applicable jurisdiction where our website is being used;
    • content which is harmful in nature including, and without limitation, computer viruses, Trojan horses, corrupted data, or other potentially harmful software or data;

We will fully cooperate with any law enforcement authorities or court order requiring us to disclose the identity or other details or any person posting materials to our website in breach of this Section.   

8. Data Protection & Compliance

We collect and process personal data to operate and improve the Services in accordance with applicable data-protection laws. Please note that by submitting a telephone number to us you agree that a representative of us can contact you at the number you provide, potentially using automated technology (including texts/SMS messaging) or a pre-recorded message.  Your consent is not an obligation to receive any of our products and/or services.

• Data Collected. Account details (name, email), usage and analytics data, device identifiers, and location information (with consent). Through use of your devices’ GPS location information, some of our Services provide narrated audio tours with stories, local tips, and directions along the route. The Services are made available to you for your personal, non-commercial use only. The Services depend on accurate GPS location positioning to active commentary triggers. If your device lacks GPS quality location positioning, certain features of the Services may not work properly.
• Legal Bases. Performance of contract, legitimate interests, and user consent where required.
• Sharing. We do not sell personal data. We share information with service providers necessary to deliver the Services and with authorities when legally required. • User Rights. You may request access, correction, deletion, restriction, portability of your personal data, or withdraw consent where permitted and/or required by applicable.
• Children’s Data. We do not knowingly collect personal data from children under 13. If we learn that we have done so, we will delete such data promptly.
• Retention. Personal data is retained only as long as necessary to fulfill the purposes outlined in these Terms or as permitted or required by law.

9. Disclaimers & Warranties

• All information on our website is of a general nature and is furnished for your knowledge and understanding and as an informational resource only.  The documents and any related graphics published on this server could include technical inaccuracies or typographical errors.  Changes are periodically added to the information contained on our website.  We may make improvements and/or changes to any of the products depicted or described herein at any time.  We expressly disclaim any responsibility or liability for any adverse consequences or damages resulting from your use of the website or reliance on the information from either.
• “As-Is” Service. The Services are provided “as is” and “with all faults.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
• Accuracy. While we strive for accurate Content, we do not guarantee its completeness or suitability for your needs.
• We make no representation or warranty, express or implied, with respect to the content of the website, or hyperlinks to other websites, including but not limited to accurateness, completeness, correctness, timeliness or reliability.  We make no representation or warranty regarding the merchantability or fitness for a particular purpose or use with respect to any content or services whatsoever that may be accessed through this website, or the results to be obtained from using the website.  We make no representation or warranty that the website or content is free from defects or viruses.  Your use of external links and third-party websites is at your own risk and subject to the terms and conditions of use for such hyperlinks and websites.
• While every effort is made so that all content provided on the website does not contain viruses and/or harmful materials, you should take reasonable and appropriate precautions to scan for viruses or otherwise protect your computer or device, and you should have a complete and current backup of the applicable items on your computer or device.  We disclaim any liability for the need for services or replacing equipment or data resulting from your use of the website.  While every effort is made for smooth and continuous operation, we do not warrant the website will operate error free.
• THE SERVICES MAY PROVIDE INFORMATION RELATING TO, RECOMMENDATIONS IN CONNECTION WITH, AND REFERENCES TO, TOURIST ATTRACTIONS, REST STOPS, LANDMARKS, EXPERIENCES, COMMERCIAL BUSINESSES OR ANY OTHER POINT OF INTEREST ALONG TRAVEL ROUTES. ALL SUCH CONTENT IS PROVIDED FOR GENERAL INFORMATIONAL PURPOSES ONLY AND IS NOT AN ENDORSEMENT, WARRANTY, REPRESENTATION, VERIFICATION, OR GUARANTEE FROM US RELATING TO SAME. 10. Limitation of Liability

To the maximum extent permitted by law, Guide Along and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use or inability to use the Services. Our total liability will not exceed the amount you paid for the relevant tour.

APPLICABLE LAW IN SOME JURISDICTIONS MIGHT NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION OF LIABILITY MIGHT NOT APPLY TO YOU IF YOU LIVE IN SUCH A JURISDICTION AND APPLICABLE LAW IN YOUR JURISDICTION DOES NOT ALLOW US TO LIMIT OR EXCLUDE ITS LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

11. Indemnification

You agree to indemnify and hold harmless Guide Along, its officers, employees, and agents from any claims, liabilities, damages, or expenses (including attorneys’ fees) arising from your use of the Services, violation of these Terms, or infringement of any rights of others.

12. Third-Party Software & Links

The Services may contain links to third-party websites or integrate third-party software. We do not control and are not responsible for third-party content, privacy practices, or terms of use. You access third-party offerings at your own risk. These third party websites are not under our control and we disclaim any responsibility for the contents of such linked websites or any link(s) contained in any such linked website(s) or any changes or updates to any of these websites.  We further disclaim any responsibility for any form of transmission received from any linked third party website or advertising.  We provide these links to you as a convenience to you and inclusion of any link herein shall in no way be construed as an endorsement by us of the website(s). 

13. Dispute Resolution

• Informal Resolution. We encourage you to contact us first to resolve any dispute informally.
• Mediation. If unresolved within 60 days, disputes will be submitted to mediation in Bristol, Rhode Island, under AAA consumer rules.
• Arbitration. If mediation fails, disputes will be resolved by binding arbitration administered by the AAA in Bristol, RI.
• Class-Action Waiver. You and we waive any right to participate in class or collective arbitrations.
• Final Decision. The arbitrator’s decision is final and enforceable in court.

14. Force Majeure

Neither party is liable for failure or delay caused by events beyond reasonable control, such as natural disasters, government actions, or network failures.

15. Severability & Non-Waiver

If any provision is found unenforceable, the remainder of these Terms remains in full force. Our failure to enforce any right is not a waiver of that right.

16. Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations at our discretion.

17. Governing Law & Venue

These Terms are governed by the laws of Rhode Island, without regard to its conflict-of-law principles. Any litigation outside of arbitration will be in state or federal courts in Rhode Island.

We make no representations that the content or the website is appropriate or may be used or downloaded outside of Canada or the United States. Access to the website and/or the content may not be legal in certain countries outside of Canada or the United States.  If you access the website from outside of Canada or the United States, you do so at your own risk and are responsible for compliance with the laws of the jurisdiction from which you access the website. 

Our website is subject to Canadian and/or United States export control laws and regulations, and may be subject to export or import regulations in other countries. You agree to strictly comply with all such laws and regulations and acknowledge that you have the responsibility to obtain authorization to export, re-export, or import of any data on our website, as may be required.

The mobile application and any related documentation are deemed to be “Commercial computer Software” and “commercial computer Software documentation” respectively pursuant to DFAR Section 227.7202 and FAR Section 12.212, as applicable. Any use, modification, reproduction release, performance, display, or disclosure of the mobile application and/or any related documentation by the U.S. government will be governed solely by these Terms and will be prohibited except to the extent expressly permitted by these Terms.

18. Electronic Communications

By providing your contact information, you consent to receive electronic communications from us regarding the Services. You may opt out by contacting info@guidealong.com or by clicking the ‘unsubscribe’ hyperlink in email communications or replying “STOP” to marketing text messages.
